PLEASE READ THIS AGREEMENT CAREFULLY. BY CREATING AN ACCOUNT, INITIATING A TRANSACTION, OR OTHERWISE ACCESSING OUR PLATFORM, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS.

1. About Monida and This Agreement

This section tells you who we are, what this Agreement covers, and how we may update it. Monida is a U.S.-based payment company. This Agreement is a legal contract between you and Monida. We will give you 30 days' notice before any material changes take effect.

1.1 Who We Are

Monida Payment Corporation ("Monida," "we," "us," or "our") is a Delaware corporation registered to do business in the United States, with its principal place of business at 1810 E Sahara Ave, Ste 75048, Las Vegas, NV 89104. We operate a cross-border payment platform that enables individuals in the United States to send money internationally to recipients in Mexico, Guatemala, and other supported countries.

1.2 Scope of This Agreement

This User Agreement ("Agreement") is a legally binding contract between you ("User," "you," or "your") and Monida Payment Corporation. It governs your use of the Monida mobile application, website, and all related payment services (collectively, the "Platform" or "Services"). This Agreement incorporates by reference our Privacy Notice, any applicable Fee Schedule, and any additional policies posted on the Platform.

1.3 Updates to This Agreement

Monida may modify this Agreement from time to time. When we make material changes, we will notify you by email to the address on file and/or through a prominent in-app notice at least thirty (30) days before changes take effect. Your continued use of the Services after the effective date constitutes your acceptance of the updated Agreement. If you do not agree to changes, you must stop using the Services and close your account before the effective date.

2. Eligibility and Account Creation

You must be 18 or older and present in the United States to use Monida. You need a valid government-issued ID plus a U.S. phone number and email address. We are required by law to verify your identity before you can send money. One account per person. You are responsible for keeping your credentials secure.

2.1 Who May Use the Services

To open a Monida account and use the Services, you must meet all of the following requirements at the time of registration and on a continuing basis:

  • Be at least eighteen (18) years of age;
  • Possess a valid government-issued photo identification document acceptable under Monida's Customer Identification Program;
  • Provide a valid U.S. mobile phone number (see Section 2.7 regarding SMS consent) and email address;
  • Not be subject to any sanctions administered by the U.S. Office of Foreign Assets Control (OFAC) or located in any jurisdiction subject to comprehensive U.S. sanctions;
  • Not have had a Monida account previously terminated for violation of this Agreement or applicable law; and
  • Be legally authorized to enter into and perform the obligations set forth in this Agreement.

By opening an account, you represent and warrant that you satisfy all of these requirements.

2.2 Account Registration

To create a Monida account, you must complete our registration process, which includes providing your legal full name, date of birth, U.S. home address, mobile phone number, email address, and government-issued identification information as required for identity verification. You agree that all information you provide is true, accurate, current, and complete, and that you will keep it up to date throughout the duration of your account.

2.3 Identity Verification

Monida is required by law to verify the identity of all users before enabling access to the full Services. We may request additional documentation at any time, including a government-issued photo ID, proof of address, or other records. We may use third-party identity verification services to assist with this process. Failure to provide satisfactory documentation may result in transaction limits, suspension, or termination of your account and may require holding of funds in accordance with applicable law.

By agreeing to these terms, you authorize Monida, directly or through third parties, to make inquiries necessary to validate and authenticate your identity and account information. This may include verifying your information against third-party databases and other sources.

2.4 One Account Per User

Each individual may maintain only one (1) Monida account. If we discover that you have opened more than one account, we may close the duplicate account(s) and cancel any pending transactions.

2.5 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any biometric authentication. You must notify Monida immediately at contact@monida.app if you suspect unauthorized access to your account. You are responsible for all activity that occurs under your account credentials unless and until you notify us of a security breach.

2.6 Choosing a Funding Method

Monida offers two methods for funding your international money transfer: by debit card or by cash at an authorized retail location. International money transfers funded with cash are subject to a 1% tax, as described in Section 5.5. Both methods are described in full in Section 3 below. You may use either or both methods, subject to the terms applicable to each.

2.7 SMS and Mobile Communications Consent

By providing your mobile phone number and using the Services, you agree to the following:

(a) Account and Security Messages.

Monida sends text messages to the mobile number you provide for identity verification and account security, including one-time verification codes (two-factor authentication) and account and transaction security alerts (“Account Messages”). Verification codes are sent when verification is needed, for example to verify your mobile number when you sign up, on a new device, for a higher-risk transfer, when you change your credentials, or when you recover your account. On an eligible device you have already registered, Monida may use a push notification instead of a text message. SMS is used for initial phone-number verification at sign-up and, where supported, for new-device verification and account recovery. Message frequency varies. Message and data rates may apply. Reply STOP to opt out, HELP for help. If you reply STOP, Monida will stop sending SMS messages to your number, and some actions, such as signing in on a new device or recovering your account, may be limited or unavailable.

(b) Carrier Disclaimer.

Mobile carriers are not liable for delayed or undelivered messages. Text messaging may not be available in all areas or on all mobile carriers or devices.

(c) No Sharing for Marketing Purposes.

We do not share, sell, or provide your mobile phone number or messaging consent data to third parties or affiliates for marketing or promotional purposes. Monida may share this information with service providers who send messages on Monida's behalf, as described in our Privacy Notice at https://www.monida.app/privacy-policy.

(d) Updating Your Number.

You are responsible for keeping the mobile number on file current. Notices and Account Messages sent to an outdated number are deemed delivered for purposes of this Agreement.

3. Description of Services

Monida offers two ways to fund your international money transfer. Option 1: Link a debit card — funds are pulled directly from your bank account, no additional account is created. Option 2: Use cash at an authorized retail location — pay at a participating store, such as 7-Eleven or Walmart, to fund your transfer. Both options charge zero transfer fees. Cash-funded transfers are subject to a 1% tax, which is separate from Monida's fees. Please read the section that applies to how you fund your transfers.

OPTION 1 — DEBIT CARD TRANSFER SERVICE

Fund your transfer by linking a debit card.

3.1 Debit Card Transfer Service

How It Works

If you choose to fund your international money transfer by debit card, you link a valid U.S. debit card to your Monida account through the Platform. When you initiate a transfer, Monida pulls the specified amount directly from your linked debit card at the time of the transaction. No separate deposit account is created.

Supported Debit Cards

Monida accepts U.S.-issued debit cards associated with a bank account held in your name. Prepaid debit cards may be subject to restrictions. Monida reserves the right to decline any debit card at its discretion for compliance or operational reasons.

Authorization

By initiating a transfer funded by debit card, you authorize Monida and its payment processing partners to charge your debit card for the total amount of the transfer at the time you confirm the transaction. In the event of a cancellation or refund, the credited amount will be returned to your debit card in accordance with Section 5.3.

OPTION 2 — CASH TRANSFER SERVICE

Fund your transfer in cash at an authorized retail location. Cash-funded transfers are subject to a 1% tax.

3.2 Cash Transfer Service

When you use cash to fund your transfer, you pay cash at an authorized InComm retail location, and your international transfer is then sent to your designated recipient. Your international transfer is executed by BAN TRANSFER, INCORPORATED, a licensed money transmitter. All international money transfers funded with cash are subject to a 1% tax, which is separate from Monida's fees. This section explains the process and who is involved.

3.2.1 How the Cash Transfer Service Works

If you choose to fund your international money transfer with cash, you initiate a transfer through the Platform and then pay cash at an authorized InComm retail location (such as 7-Eleven, Walmart, and other participating retailers). When your cash payment is confirmed at the retail location, your international money transfer is then executed to your designated recipient.

All international money transfers funded with cash through the Cash Transfer Service are subject to a 1% tax. This tax is separate from Monida's service fees and is described in Section 5.5.

3.2.2 International Transfer Execution by BAN TRANSFER, INCORPORATED

Your cash-funded international money transfer is executed by BAN TRANSFER, INCORPORATED (Florida OFR Lic. No. FT230000293), a licensed money transmitter. BAN TRANSFER, INCORPORATED is a separate legal entity from Monida Payment Corporation. BAN TRANSFER, INCORPORATED holds the money transmission licenses required to execute your international transfer and is responsible for the transmission of funds to your designated recipient.

Monida Payment Corporation serves as the technology platform and user-experience layer that connects you to the money transmission services of BAN TRANSFER, INCORPORATED. Monida Payment Corporation is not the custodian of your funds at any point in the Cash Transfer Service.

3.2.3 InComm Retail Network

Cash payments for the Cash Transfer Service are accepted at authorized InComm retail locations across the United States, including participating 7-Eleven, Walmart, and other retail partners. InComm is an independent third-party payment network. Monida is not responsible for the acts or omissions of InComm or individual retail locations. A list of participating locations is available within the Platform.

When you pay cash at an InComm location, you will receive a receipt confirming your payment. You should retain this receipt until your transfer is confirmed. Monida is not responsible for cash paid at unauthorized locations or for errors in the payment process attributable to the retail location or InComm network.

3.3 Supported Destinations and Payout Methods

Monida currently supports international money transfers to Mexico, Guatemala, and other countries as made available from time to time. Supported payout methods include bank account deposits, SPEI transfers in Mexico, and ACH/bank transfers in Guatemala, as displayed in the Platform. The list of supported destinations and payout methods is subject to change without prior notice.

3.4 Third-Party Partners

Monida works with third-party payment processors, licensed money transmitters, identity verification providers, retail networks, and other service partners to provide the Services. By using the Services, you acknowledge that portions of the transaction process are handled by these partners. Key third-party relationships are disclosed in this Agreement. Monida is not responsible for the independent acts or omissions of third-party partners except as expressly stated in this Agreement.

4. Transaction Terms and Limitations

This section covers how transfers work, what limits apply, how exchange rates are set, and your rights if something goes wrong. Key point: once funds have been disbursed to your recipient, they generally cannot be reversed. Under federal law, you have 30 minutes after payment to cancel and receive a full refund.

4.1 Transaction Initiation

You may initiate a transfer by specifying your recipient's information and the send amount through the Platform, then completing payment either by debit card charge or by cash payment at an authorized InComm location within the timeframe displayed in the app. Transactions not funded within the required window will be automatically cancelled. You are responsible for ensuring recipient information is accurate before confirming.

4.2 Transaction Limits

Monida imposes limits on the amount you may send per transaction, per day, per week, and per calendar month based on your identity verification level, applicable law, and our internal risk and compliance policies. Current limits are displayed in the Platform. We reserve the right to adjust these limits at any time without prior notice.

4.3 Exchange Rates

When your transfer involves a currency conversion, Monida will apply the exchange rate in effect at the time your transaction is confirmed. The applicable exchange rate includes a margin above the interbank mid-market rate and is disclosed to you before you confirm your transaction. Exchange rates fluctuate, and the rate applicable to your transaction may differ from rates quoted elsewhere. Once you confirm, the rate is locked for your transaction.

4.4 Recipient Information

You are solely responsible for providing accurate and complete recipient information, including the recipient's full name, destination country, bank account or transfer details, and any other information required by the Platform. Monida is not responsible for delays, failures, losses, or errors in transfers resulting from inaccurate or incomplete information you provide. If funds are misdirected due to your error, Monida will make reasonable efforts to assist with recovery but cannot guarantee it.

4.5 Processing Times

Estimated delivery times are displayed at transaction initiation and are estimates only. Monida does not guarantee delivery within any specific timeframe. Delays may occur due to banking holidays, network disruptions, compliance reviews, or circumstances outside our control.

4.6 Cancellation and Your Rights Under Federal Law

Under applicable federal law governing remittance transfers, you have the right to cancel your transfer and receive a full refund within thirty (30) minutes of payment, provided that funds have not yet been disbursed to the recipient. To request cancellation, contact us immediately at contact@monida.app or through the Platform. Once funds have been disbursed to your recipient, cancellation is not possible. For Cash Transfer Service users, the cancellation window applies from the time of your InComm cash payment.

4.7 Transaction Records

Monida will provide you with a transaction confirmation number and receipt for each transfer. Your transaction history is accessible within your Monida account on the Platform.

4.8 OFAC, PEP, and Compliance Screening

All transactions are screened against applicable sanctions lists administered by OFAC, politically exposed persons (PEP) databases, and other compliance data sources. Screening applies to both the sender and the intended recipient. Monida may delay, block, or refuse any transaction based on the results of such screening or other compliance considerations, at any time, without notice and without liability.

5. Fees, Pricing, and Refunds

Monida charges zero transfer fees. Monida's only charge is the exchange rate margin disclosed before you confirm your transaction. Cash-funded transfers are also subject to a 1% tax, which is separate from Monida's fees. There are no hidden fees and no monthly account fees charged to you. If your transfer fails due to our error, you receive a full refund. Federal law provides you with additional refund rights.

5.1 Zero Transfer Fees

Monida does not charge a transfer fee for sending money internationally through the Platform. The only charge Monida imposes is the exchange rate margin, which is disclosed to you as part of the exchange rate shown before you confirm your transaction. Monida does not charge you any service fee, processing fee, or account maintenance fee for using the Services. Separately, all international money transfers funded with cash are subject to a 1% tax, as described in Section 5.5. This tax is not a Monida fee.

5.2 Exchange Rate Margin

When your transfer involves a currency conversion, Monida applies an exchange rate that includes a margin above the interbank mid-market rate. This margin is disclosed to you in the exchange rate shown before confirmation. By confirming a transaction, you agree to the disclosed exchange rate.

5.3 Refund Policy

If you cancel an eligible transaction within the thirty (30) minute cancellation window, you will receive a full refund of the send amount. Where a transfer fails due to Monida's error, a system failure, or a failure by Monida's partners, you will receive a full refund. Under federal law governing remittance transfers, you may also be entitled to a refund if funds were not made available to your recipient by the disclosed delivery date in certain circumstances. Refunds are credited to the original payment method — your debit card for card-funded transfers, or [TBD — refund method for cash-funded transfers to be confirmed by Legal/Operations] for cash-funded transfers — within the timeframes required by applicable law.

5.4 Fee Changes

Monida may introduce or change fees in the future. Any new or changed fees will be disclosed to you through the Platform and in an updated Agreement with at least thirty (30) days' notice before they take effect.

5.5 Taxes

Cash-Funding Tax. All Monida international money transfers funded with cash are subject to a tax of one percent (1%). This tax is separate from Monida's service fees: it is not a transfer fee, service fee, or exchange rate margin charged by Monida.

You are responsible for any other taxes applicable to your use of the Services. Monida is not responsible for determining, collecting, or remitting those other taxes on your behalf.

Monida may share information with InComm, identity verification providers, OFAC screening services, and other third-party partners as necessary to operate the Platform, fulfill transactions, and comply with applicable law.

11. Dispute Resolution

Please contact us first if something goes wrong — most issues can be resolved quickly. Under federal law, you have specific rights to dispute remittance transfer errors within 180 days. If we cannot resolve a dispute informally, it will be resolved through binding individual arbitration — not a jury trial or class action.

11.1 Informal Resolution First

Before initiating any formal proceeding, please contact Monida at contact@monida.app with a written description of your complaint, the relevant transaction information, and the relief you are seeking. We will make a good-faith effort to resolve the dispute within thirty (30) days.

11.3 Binding Arbitration

EXCEPT AS PROVIDED IN SECTIONS 11.5 AND 11.6 BELOW, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES WILL BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS CONSUMER ARBITRATION RULES, AVAILABLE AT WWW.ADR.ORG. THE ARBITRATION WILL BE CONDUCTED IN LAS VEGAS, NEVADA, OR BY TELEPHONE OR WRITTEN SUBMISSION AT YOUR ELECTION. BY AGREEING TO ARBITRATION, YOU AND MONIDA EACH WAIVE THE RIGHT TO A TRIAL BY JURY.

11.4 Class Action Waiver

YOU AND MONIDA AGREE TO BRING ANY CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.

11.5 Small Claims Court

Either party may bring an individual action in small claims court if the claim qualifies and remains exclusively in small claims court.

11.6 Injunctive Relief

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

11.7 Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles. For matters not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada.

11.8 Time Limitation on Claims

Any claim arising out of or related to this Agreement must be filed within one (1) year of the date the claim arose, except where a longer period is required by applicable federal remittance transfer law.

12. Term and Termination

This Agreement lasts until you or Monida ends it. You can close your account at any time. We can suspend or close accounts that violate this Agreement, pose legal or compliance risk, or for other reasons. Key sections survive after termination.

12.1 Duration

This Agreement is effective from the date you create an account or first use the Services and continues until terminated by either party.

12.2 Termination by You

You may close your Monida account at any time by contacting contact@monida.app. Closing your account does not relieve you of obligations incurred before termination, including any pending transactions.

12.3 Termination by Monida

Monida may suspend or terminate your account at any time, with or without cause and with or without notice, including if we believe you have violated this Agreement or applicable law; if your account poses fraud, money-laundering, or sanctions risk; if required by applicable law, a court order, or a regulatory authority; or if continued provision of the Services to you would expose Monida or its partners to legal or regulatory risk.

12.4 Effect of Termination

Upon termination, your access to the Services and Platform immediately ceases. Sections 7, 8, 9, 11, and 12 of this Agreement survive termination and remain in full force.

13. General Provisions

This Agreement, together with the Privacy Notice, any applicable Fee Schedule, and other incorporated policies, constitutes the entire agreement between you and Monida regarding the Services and supersedes all prior agreements and understandings relating to the same subject matter.

13.2 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions continue in full force.

13.3 No Waiver

Monida's failure to enforce any right or provision of this Agreement on any occasion is not a waiver of that right or provision for the future.

13.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under this Agreement without Monida's prior written consent. Monida may assign this Agreement at any time without your consent, including in connection with a merger, acquisition, or sale of assets.

This Agreement is written in English. In the event of any conflict between the English version and any translated version, the English version controls.
